Why Choose Caldey

At some point in their careers, most entrepreneurs like you need specialist advice when faced with particularly momentous decisions.

Who you choose to help you make those decisions has to be based on trust – that they will be able to help you achieve the best possible outcome.

That trust takes time to earn.

At Caldey, we understand that when selling or buying a business, or looking to attract funding, you will benefit from working with people who are totally focussed on your objectives, who don’t simply present you with a quick, out-of-the-box solution.

That’s why we invest as much time as necessary working alongside you to understand your unique situation and objectives. We then apply our experience and knowledge to provide you with clear advice on the options available to achieve your objectives.

We can also arrange access to third parties who are able to turn those options into a reality – buyers, business sellers, funders – as well as other specialist advisors you will need during the process, such as lawyers and tax advisors.

Like many entrepreneurs, you are probably very accustomed to making things happen by yourself. But your journey to value does not have to be one that you make on your own. At Caldey, our role is to accompany you every step of the way. You can draw on our experience, values and approach to make sure your journey is a successful one.

The Journey

Why Corporate Finance?

In our experience, many entrepreneurs are reluctant to describe their business as ‘corporate’. So they might well question why they would need corporate finance.

The fact is, in order to achieve the best outcome when selling their business, or the most trustworthy advice when buying one, or to attract resources to fund growth, they need the expertise from a corporate advisor.

Ideally, you will want someone working alongside you that has corporate experience and contacts, yet has an entrepreneur’s mindset. A company that understands how it takes time to build a relationship and earn trust, and that believes it is essential to invest that time in doing so.

Sourcing – finding a party that believes in your business

Buyers – if you want to sell your business, you need to find a buyer. Caldey will help you to do exactly that, using a multi-channel approach that includes making use of the direct and indirect networks we have built up over many years.

Funders – a bank or lender that will lend to your business to allow you to achieve your aims, or an investor who will invest for a share of the business and help you to grow it. In sourcing funding, Caldey helps you to clarify your objectives, formulate clear messages and information about what you want to do, finds the right funders and explains how supporting your plans is a good business proposition for them. explains your plans and how supporting them is a good business proposition for them.

Marketing and Selling

Broadly speaking, this encompasses two elements:

Firstly, Potential buyers need to understand your business: What is special or unique about it? Why do customers buy from you? How does it generate the profits it does? Why will it be a success in the future? Caldey builds a strong story about how you have developed the business to where it is now, and where it can go in the future. This story is told through key messages that are presented to the buyer during all interactions.

Secondly, This story is told through the careful crafting and creation by Caldey of Marketing material intrinsic to the success of the process and that focusses on the key messages of your business.

Ultimately, our role is to present a compelling argument to persuade the buyer that they need your business.

Negotiations

In simple terms, how much a buyer is willing to pay for your business depends on how much they want or need it. The role of Caldey is to establish a strong rapport with the potential buyers, and demonstrate to them why it is worth paying more for your business. Drawing on Caldey’s many years of experience, Caldey will also create competitive tension amongst the interested parties and capitalise on this, and advise you when we believe the buyer has reached their limit. In essence, value is optimised in both the eyes of the seller and the buyer.

Due Diligence and Legal Completion
This final stage is always the most complex and stressful time, as the ‘finish line’ is in sight. The aim is to maintain confidence on all fronts, in particular the buyer’s confidence in the process and in your business. Due diligence is where the buyer and their team of specialists confirm that what they have been told is correct – and it is the role of Caldey to make sure there is evidence and information to support this. Furthermore, Caldey will advise you when addressing any questions asked by the buyers, ensuring that the response is consistent with your key selling messages and the opportunity of providing these further insights is optimised to support value. Finally, the legal process ensures that legally binding documents are drafted and completed. Deal done!

“I had previously sold one business and knew that to achieve the best result for me and my fellow shareholders I needed an Advisor totally dedicated and focussed on delivering that outcome. Caldey made a huge difference and delivered way beyond my high expectations. Their commitment and determination to find solutions that worked both for us and the PageUp team during the transaction process was amazing; I am certain that we wouldn’t have been able to achieve this great result without the drive and innovative thoughts of Adrian and Janine.”

Andy Randall, Founder, CEO and largest shareholder of eArcu

“Adrian and Janine from Caldey were introduced to me over a year ago when we were engaged with other potential funding partners. From that initial support role, they have become truly trusted advisors; their dedication, commitment and professionalism to Avnio and me personally has been invaluable during this period in what is a challenging time in a two year old rapidly growing and evolving tech business. Their support has been constant, and they have been available evenings and weekends closing this key round of fund raising.”

Tobias Dawes – Founder, Avnio

“I have been working with Adrian for almost 20 years – his dedication to us as a client has been first class; his focus on our objectives and his attention to detail during negotiations made a huge positive difference to our outcomes”

David Simpson, Millgate Homes

“Adrian has led the advisory work from the management buy back to the final sale of the business over a 10 year period. He was always focused on what was important and was always accessible; I appreciate he always has a number of assignments competing for his attention at any one time, however I always felt that we were his prime client”

Alan Bennie, Vice Chairman and Co-Founder of Vivid Toys

“Adrian and Janine were invaluable in maximising the value of a 5th generation family owned business for its 100 plus shareholders. Janine and Adrian work through the complexities of 3 very different businesses with varied dynamics and presented the businesses in a manner that demonstrated their respective full potential to the buyer. After delivering such great results they continue to support the board through the buy-out of the legacy defined pension scheme that allowed the shareholders to receive consideration beyond mine and many others expectations”

Jonathan Hopson, CEO and shareholder of Camp Hopson

“Adrian was my advisor when A-Gas was a small business and I needed to buy out my business partner. He did a great deal with my first private equity partner and became mine and my fellow A-Gas shareholders’ trusted advisor as we grew the business from those humble beginnings to the global business that was sold to KKR at the point of my retirement. His commitment and determination to ensure that we achieved great deals from all our equity partners made a real difference to us all”

John Rutley – Founder and CEO of A-Gas
