Caldey Corporate Finance is delighted to announce the formal strategic partnership between Adam Smith International Limited and InternationalSOS.

The team at Caldey Corporate Finance led by Adrian Dray and Janine Vitali, advised the shareholders of Adam Smith Advisory Group Limited (“ASAG”), the owner of Adam Smith International Limited (“ASI”) and other stakeholders.

Adam Smith International has over thirty years of expertise and impact in the global development sector. International SOS is unmatched in its capability, expertise, and experience in delivering complex and comprehensive health solutions to government, NGO, and private sector clients operating in challenging health environments. Together, the two companies will work together to offer advisory and delivery capability to support health development and humanitarian health and medical projects worldwide. Both organisations look forward to broadening their client portfolio, strengthening their service offer, and expanding their collective global impact.

Peter Young, one of the key stakeholders of ASAG commented “We were introduced to Caldey by our lawyers. The initial scope was to support the negotiation of the equity value from the headline price, as the ASI group has cash in numerous banks and in numerous jurisdictions across the globe, alongside some complex and changing working capital requirements. Adrian had already advised my colleagues and I by setting out a mechanism that agreed the payment of monies on our outstanding loans. When the headline deal was agreed, Adrian at Caldey, worked with the ASI Management to create a mechanism that both simplified the complex structures whilst giving clarity regarding the basis of additional value to me and my fellow stakeholders.  Adrian has also been very supportive as a counsel to both ASAG and me in other elements of which has been a complex deal.”.

Adrian Dray, Managing Director at Caldey commented “The nature of Caldey is that our work is not dictated by very specific, rigid services with minimum fees. We can structure our work to our clients’ needs and provided we are confident we can add value to our clients, we are there to deliver that advice and the ultimate outcome. On this project, our role was relatively succinct as the commitment of both ASI and InternationalSOS to formalise a strategic partnership had been established and the  headline deal had already been agreed; however, our experience and knowledge of understanding complex cash profiles meant we could still both add considerable value to the stakeholders whilst ensuring that an overall mutually beneficial agreement and outcome was achieved.”.
